Deed of Gift Blog for Comments about Required Changes

At the 11 June 2015 extraordinary management committee meeting it was decided that we would use a blog page on the website in order to collect everyone's comments about the changes required to the deed of gift of the village hall to the community. Once we identify and agree the potential and desired changes, it will be possible to approach law firms with a view to getting quotes for the necessary legal work.

You can download the deed of gift from http://www.thelenches.org.uk/trust-deeds--constitution.html. Please note that it is the document at the bottom of the page.  The four documents at the top are varous versions of our constitution (bye laws) over the years.

Please note the Bye Laws are not part of the constitution. The Trust deed sets out the constitution, the bye laws were Andy's attempt to simplify what is contained within the trust deed and in no way take precendence.

Fist and foremost we need to know what we are looking at.

We have a Deed of Girst which forms the constitution for the hall - this is the overriding document which we looking to amend in the first instance.

The 'Bye-laws' was an attempt by Andy Langman to summarise the Deed of Gift but over the years this has taken on the mantle of the rules and regulations. This is fine but in no circumstance can it override the constitution. We must amend the Deed in respect of having a licensed bar other than that the only other changes I would suggest is a clause to say that if the Deed in future years failed to meet the needs of the local community then we establish a protocol to amend this deed giving clear guidelines as to our expectations in respect of such amendments.

The Deed presently stipulates (in my humble, untrained opinion, subject to confirmation by a legal expert) that the Trustees own the land and building and have responsibility for maintaining the said property.

The majority of the first part of the Deed details the property boundaries it is only when we get to the 'First Schedule' that administration of the property is referred to.

The Deed limits the membership to 12 of which 4 should be elected at the AGM for the posts of Chair, Vice-Chair, Treasurer and Secretary.
The other organisations mentioned can then elect to have representation on the committee.
In addition the Committee can co-opt 3 members who have no affiliation to any specific group.
4. All members must live within the parish of Radford & Rous Lench.
The Chair will have an additional casting vote in a tied decision making vote.
5. the AGM should be held in May or as soon as possible after the end of that month.Invitations should be sent to all organisations listed in the Deed (if still n existence)
7. All Members retire annual but can be re-elected should they wish to continue to stand.
The committee can fill any vacancy of elected personnel from within the committee until the next agm.

Point 12 then refers to Rules and Regulation of operation but there are provisions which impact on the committees ability to run the hall, namely The trust Premises shall not be licensed for the sale of alcohol. ARE THE PREMISES LICENSED OR IS AN INDIVIDUAL LICENSED TO RUN A BAR - WE NEED LEGAL CLARIFICATION AS TO IF THIS MAKES A DIFFERENCE.

It then goes on to give the Rector right to use the hall on a Sunday.

A quorum for meetings is 1/3 of the committee membership.

It details bank activity and how funds should be used - I have no objection to any of this.
It gives us permission to obtain loans against the land and buildings
It then also gives clear instruction should the hall fall into disuse.
Finally it confirms that the Deed takes precedence over and Rules and Regulations that the Committee operate by.


I hope this gives you all an insight into the contents of the deed and hopefully will assist you when you take up this document to examine it further.

I will post separately regarding the rules and regulations and items that I think we need to consider,
